1. Acceptance of Terms

By accessing or using SPV Services ("the Platform"), you agree to comply with and be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Platform.

2. Description of Service

SPV Services provides automated payment verification for Bangladeshi merchants who accept bKash, Nagad, and Rocket mobile wallet payments. The service includes:

• An Android application that monitors incoming payment SMS messages on the merchant's device.
• A server-side Payment Intent API for website integration.
• A hosted customer checkout page for payment submission and verification.
• A merchant web console for transaction management, API configuration, and subscription handling.
• An admin panel for platform management and KYC review.

SPV Services is not an official bKash, Nagad, or Rocket integration. It works by matching payment confirmation SMS messages received on the merchant's own device.

3. Eligibility

To use SPV Services, you must:

• Be at least 18 years of age.
• Be a legitimate merchant or business operator in Bangladesh.
• Own or control at least one bKash Personal, Nagad, or Rocket wallet number.
• Have an Android device capable of running the SPV Services app.
• Complete KYC (Know Your Customer) identity verification as required.

4. Account Registration & Security

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify SPV Services immediately if you suspect unauthorized access to your account.
• Each merchant account is bound to one Android device. Device transfers require contacting support.
• API keys are generated automatically and locked to your registered domain on first use.

5. Subscriptions & Payments

• SPV Services offers subscription plans: 30 days (৳99), 90 days (৳280), and 12 months (৳999).
• A one-time 7-day free trial is available after KYC verification.
• Subscription payments are made via the platform's secure checkout using bKash, Nagad, or Rocket.
• Purchased subscription time is additive — renewing before expiry extends your current plan.
• Subscriptions are pre-paid and non-refundable once activated. You may choose not to renew at expiry.
• SPV Services reserves the right to modify pricing with 30 days' notice to active subscribers.

6. Merchant Responsibilities

As a merchant using SPV Services, you agree to:

• Keep the SPV Services Android app installed and running on your registered device to receive payment SMS messages.
• Use the API key only on your own server — never in browser JavaScript, mobile apps, or public repositories.
• Calculate order amounts on your server and never trust amounts sent from the customer's browser.
• Verify payment status server-side before fulfilling any order — never treat a client-side success screen as proof of payment.
• Comply with all applicable laws and regulations regarding your business operations.
• Not use SPV Services for any fraudulent, illegal, or unauthorized purpose.
• Respond to customer payment review requests in a timely manner.

7. Customer Payment Verification

• Customers submit a Transaction ID through the SPV checkout page. SPV matches this against payment SMS confirmation received on the merchant's device.
• Verification typically completes within 5 seconds but may take up to 30 seconds.
• If verification fails or times out, customers may use the "Review My Payment" feature to request manual merchant review.
• Customers may report merchants through the checkout page. Reports are reviewed by SPV administrators.
• After payment verification, customers are automatically redirected to the merchant's website if a return URL was provided.

8. KYC Verification

• KYC verification requires a valid National ID (NID), Passport, or TIN Certificate, plus a live selfie.
• KYC selfie capture uses a 3-pose sequence (front, left turn, right turn) with real-time face detection.
• KYC verification is mandatory and cannot be skipped. API access and subscriptions require approved KYC.
• SPV Services reserves the right to reject KYC submissions that do not meet verification standards.
• Rejected KYC may be resubmitted with corrected documents.

9. Prohibited Activities

You must not:

• Attempt to spoof, fake, or manipulate payment SMS messages.
• Share your API key with third parties or embed it in client-side code.
• Use the platform to launder money or facilitate fraudulent transactions.
• Attempt to reverse-engineer, decompile, or extract source code from the Android app.
• Interfere with or disrupt the platform's infrastructure or services.
• Create multiple accounts to circumvent subscription requirements or bans.
• Impersonate another merchant or business.

10. Suspension & Termination

• SPV Services may suspend or terminate your account for violation of these Terms, fraudulent activity, or abuse of the platform.
• Suspended merchants receive a notification with the reason for suspension.
• Banned merchants lose access to all platform services, API, and stored data.
• You may request account deletion at any time by contacting support. Data is deleted within 7 business days.
• SPV Services reserves the right to refuse service to anyone at its discretion.

11. Intellectual Property

All content, branding, code, and design of the SPV Services platform — including but not limited to the website, Android app, API, checkout page, and documentation — are the intellectual property of SPV Services. You may not copy, modify, distribute, or create derivative works without explicit written permission.

12. Limitation of Liability

SPV Services is provided "as is" without warranties of any kind. To the fullest extent permitted by law:

• SPV Services is not liable for any direct, indirect, incidental, or consequential damages arising from use of the platform.
• SPV Services does not guarantee uninterrupted or error-free operation of the service.
• SPV Services is not responsible for losses caused by merchant failure to verify payments server-side before fulfilling orders.
• SPV Services is not a financial institution and does not hold, transfer, or process funds. Payment verification is based solely on SMS matching.

13. Changes to Terms

SPV Services may update these Terms of Service from time to time. When changes are made, the "Last updated" date at the top of this page will be updated. Continued use of the platform after changes constitutes acceptance of the updated terms. Significant changes will be communicated via in-app notification or email.

14. Governing Law

These Terms are governed by the laws of Bangladesh. Any disputes arising from or relating to these Terms shall be resolved in the courts of Bangladesh.
